Partner Terms & POD Fulfillment Agreement

Version 1.1 · Effective September 1, 2026

LIGHTBOXFORYOU Partner Terms & POD Fulfillment Agreement Version 1.1 | Effective September 1, 2026 Legal owner Vitalii Handzii Operating name LightBoxforYou Business type Sole Proprietorship Business address 9409 Erickson Street, Mission, British Columbia, V2V 7C8, Canada Support email lightboxforyou@gmail.com B2B AGREEMENT FOR INDEPENDENT RESELLERS AND PRINT-ON-DEMAND FULFILLMENT This Agreement is intended for business-to-business transactions. Partners should obtain their own legal and tax advice where appropriate. These Partner Terms & POD Fulfillment Agreement (the “Terms” or “Agreement”) are between Vitalii Handzii, carrying on business as LightBoxforYou (“LightBoxforYou”, “we”, “us”, or “our”) and the individual or entity that applies to, accesses, or uses our partner program or places an order for resale (“Partner”, “you”, or “your”). By registering as a Partner, checking an acceptance box, submitting an order, paying an invoice, or otherwise using our business-to-business fulfillment services after being presented with these Terms, you agree to be bound by this Agreement. If you accept these Terms on behalf of a company or other organization, you represent that you have authority to bind that organization. 1. Business Relationship and Scope LightBoxforYou provides made-to-order manufacturing, personalization, packaging, and dropshipping / fulfillment services to independent resellers. Products may include personalized wall decor, nursery decor, name signs, LED or backlit products, Custom Dry Erase Boards, Kids Drawing Board Sets, and other products offered from time to time. Unless an order is expressly identified otherwise in writing, Partner purchases Products from LightBoxforYou for resale in the ordinary course of Partner’s business and not for Partner’s personal consumption or use. Partner acknowledges that LightBoxforYou is acting as Partner’s manufacturer and fulfillment supplier for those resale transactions. At Partner’s instruction, LightBoxforYou may package and ship Products directly to Partner’s end customer at the shipping address supplied by Partner. The end customer remains Partner’s customer, and direct shipment by LightBoxforYou does not by itself create a retail seller-customer relationship between LightBoxforYou and the end customer, except to the extent mandatory law provides otherwise. Partner authorizes LightBoxforYou to use the end-customer shipping and order information solely as reasonably necessary to manufacture, package, ship, support, and keep legally required records for the order. The word “Partner” is a commercial label only. Nothing in this Agreement creates a legal partnership, joint venture, employment relationship, franchise, fiduciary relationship, or agency relationship. Neither party may bind the other unless expressly authorized in writing. Unless expressly agreed otherwise in writing, Partner is the independent seller to the end customer and is responsible for the customer-facing sale, marketplace account, retail pricing, customer service, and compliance obligations applicable to that sale. This Agreement is non-exclusive. Either party may work with other suppliers, resellers, marketplaces, or customers. 2. Partner Responsibilities Partner is responsible for:  maintaining accurate and lawful product listings and advertisements;  setting its own retail prices and promotions;  providing accurate customer, personalization, design, colour, size, shipping, and order information;  obtaining all rights, permissions, licences, notices, and consents required for content and customer data supplied to LightBoxforYou;  complying with the rules of Etsy, Shopify, Amazon, or any other marketplace or sales channel used by Partner;  handling end-customer communications, cancellations, refunds, returns, and consumer-law obligations except to the extent LightBoxforYou expressly accepts responsibility under these Terms;  its own accounting, income tax, sales tax, marketplace, import, and regulatory obligations;  maintaining records reasonably sufficient to demonstrate that Partner orders are genuine resale / fulfillment orders when Partner requests a tax exemption, including marketplace order evidence or other supporting records where reasonably requested by LightBoxforYou;  promptly notifying LightBoxforYou if Partner’s GST/HST registration status, PST status, marketplace, marketplace registration number, business location, or other facts used to support a tax exemption change. 3. Products, Specifications, and Product Changes The specifications shown on our current product page, partner price list, written quotation, or order confirmation at the time an order is accepted form part of that order. Older photographs, mockups, samples, messages, or listings do not override the current specification unless we expressly confirm otherwise in writing. We may improve or modify construction methods, components, packaging, suppliers, or materials when reasonably necessary for product quality, safety, durability, availability, production efficiency, tariff or shipping compliance, or product improvement, provided the ordered product is not materially reduced in its overall intended function and general appearance. Detailed manufacturing tolerances and permitted material substitutions are set out in Appendix A and form part of this Agreement. 4. Personalization, Proofs, and Approvals Partner must verify all names, spelling, wording, images, colours, sizes, options, addresses, and other personalization before submitting an order. Where LightBoxforYou provides a digital proof, Partner must review it carefully. Once a proof is approved, production may begin. An error that appeared in an approved proof is not a manufacturing defect unless LightBoxforYou produced something materially different from the approved proof. Mockups and on-screen colours are visual references. Screen calibration, lighting, material texture, paint batches, wood grain, printing, photography, and manufacturing processes may cause reasonable differences from the digital preview. 5. Order Acceptance, Changes, and Cancellation An order is not accepted for production until LightBoxforYou has the information and payment reasonably required to produce it. We may request clarification, a new file, a proof approval, or other information before production starts. Because products are made to order and frequently personalized, Partner has no guaranteed right to cancel or modify an order after production begins. We may attempt to accommodate a change if practical, but additional costs may apply. We may reject or cancel an order before production for reasons including suspected infringement, prohibited or unlawful content, fraud risk, technical impossibility, material unavailability, obvious pricing error, safety concern, sanctions or trade restrictions, or other reasonable legal or production concerns. Amounts paid for the unproduced portion of a cancelled order will be refunded or credited. 6. Pricing and Resale Pricing Partner pays the LightBoxforYou partner / wholesale price applicable when the order is placed, together with shipping, taxes, and other charges shown or communicated before order confirmation. We may change partner pricing. For ordinary planned changes we will use commercially reasonable efforts to provide advance notice. More immediate changes may be made where reasonably required by material costs, carrier surcharges, currency movements, tariffs, duties, taxes, government action, or supply-chain changes. Partner independently determines its own retail resale price. Any suggested retail price, margin example, or recommendation from LightBoxforYou is non-binding and is provided only for convenience. 7. Payment, Chargebacks, and Past-Due Amounts Unless LightBoxforYou expressly approves credit terms in writing, each order must be paid before production. We may pause production or fulfillment for failed payments, unpaid balances, suspected fraud, or abusive chargebacks. Partner must first contact LightBoxforYou and provide a reasonable opportunity to investigate a billing or fulfillment issue before initiating a payment chargeback. This does not limit any nonwaivable legal right. Partner remains responsible for amounts properly due, including reasonable collection costs caused by an improper chargeback or non-payment, to the extent permitted by law. 8. GST/HST, PST, Sales Taxes, and Exemption Documents LightBoxforYou and Partner intend to apply GST/HST, PST, and other sales taxes in accordance with applicable law while avoiding tax being charged where a lawful zero-rating, resale exemption, marketplace relief rule, or other exemption applies. Nothing in this Agreement requires either party to understate, misclassify, or evade tax. 8.1 Separate B2B Resale Transaction Partner’s sale to its end customer and LightBoxforYou’s supply to Partner are separate transactions. Partner represents that Products ordered through the partner program are acquired for resale unless Partner clearly identifies an order as being for another purpose. LightBoxforYou may rely on that representation for commercial record-keeping, but Partner must also provide any tax documentation required by law for a particular exemption. 8.2 British Columbia PST - Resale Purchases For an eligible purchase of goods solely for resale, Partner may request that British Columbia PST not be charged by providing LightBoxforYou, at or before the time required by law, either (a) a valid BC PST registration number, or (b) where permitted, a properly completed FIN 490 Certificate of Exemption - General. Partner certifies that goods covered by the exemption are acquired solely for resale and that the information supplied is accurate and current. If the required PST documentation has not been provided or approved when the order is processed, LightBoxforYou may charge PST. Where permitted by law, LightBoxforYou may issue a PST refund or credit after valid documentation is later provided, including within an applicable statutory or administrative refund period; otherwise Partner may need to seek any available refund directly from the tax authority. 8.3 Canadian GST/HST Registrants and Input Tax Credits A Partner’s Canadian GST/HST registration does not, by itself, make purchases from LightBoxforYou exempt from GST/HST. Where GST/HST is properly charged, LightBoxforYou will provide commercially reasonable invoice records showing the tax charged. A Partner that is registered for Canadian GST/HST may generally be able to recover eligible GST/HST paid or payable on commercial business purchases by claiming Input Tax Credits (ITCs), subject to applicable law and the Partner’s own circumstances. 8.4 Non-Canadian Partner - Qualifying Marketplace Orders Where a non-resident Partner that is not registered under the regular Canadian GST/HST registration rules sells qualifying goods to a Canadian purchaser through a distribution platform operator that is required to collect GST/HST on that retail sale, GST/HST relief may be available to LightBoxforYou’s supply to Partner under section 179(3.1) of the Excise Tax Act if all statutory conditions are satisfied. Before LightBoxforYou applies that treatment, Partner must provide a Marketplace GST/HST Certificate or equivalent certificate that contains the information required by law, including acknowledgement that the Canadian consignee receives the goods as recipient of the taxable marketplace sale and the name and GST/HST registration number of the distribution platform operator. LightBoxforYou may require marketplace order evidence, destination evidence, or updated certification for particular orders. A marketplace certificate applies only to orders and facts that actually satisfy the applicable statutory conditions. Partner must not use the certificate for direct website sales, non-qualifying platforms, orders where the marketplace is not required to collect the tax, or after Partner’s registration status or other relevant facts change. LightBoxforYou may accept a standing certificate for recurring eligible orders where legally supportable, but may require order-specific confirmation at any time. 8.5 Exports and Shipments Outside Canada For goods shipped by or on behalf of LightBoxforYou to a destination outside Canada, Canadian GST/HST may be zero-rated where the legal export conditions are met. For BC PST, an out-ofprovince delivery or other exemption may apply where the statutory conditions are met. Partner must provide an accurate destination, and LightBoxforYou will retain available shipping, carrier, customs, or export evidence required for its records. 8.6 Tax Documentation, Review, and Changes Partner is responsible for providing complete, current, and accurate tax exemption documentation before an exemption is applied. Depending on the transaction, documentation may include a BC PST number, FIN 490, Marketplace GST/HST Certificate, marketplace order evidence, shipping / export evidence, or other records reasonably requested by LightBoxforYou. LightBoxforYou may review, reject, suspend, or request renewal of tax-exemption documentation if it is incomplete, inconsistent, expired, inaccurate, no longer appears applicable, or if the facts of an order differ from the facts represented in the documentation. Until an exemption is approved, tax may be charged. If Partner provides inaccurate tax information or an invalid exemption and this causes tax, interest, penalties, or reasonable professional costs to be assessed against LightBoxforYou, Partner is responsible for those amounts to the extent caused by Partner’s inaccurate representation, omission, or documentation, except to the extent caused by LightBoxforYou’s own error or misconduct. LightBoxforYou does not guarantee a retroactive refund of tax already collected or remitted. Any adjustment, refund, or credit is subject to applicable law and LightBoxforYou’s ability to correct the relevant transaction or filing. LightBoxforYou does not provide tax advice, and Partner remains responsible for its own registrations, filings, marketplace obligations, and tax treatment of its retail sales. 9. Shipping, Delivery, and Address Accuracy Production and delivery times are estimates, not guarantees, unless LightBoxforYou expressly agrees in writing to a guaranteed service. Partner is responsible for providing a complete and correct shipping address. LightBoxforYou is not responsible for loss, delay, return, or non-delivery caused by an incorrect or incomplete address supplied by Partner or its customer. Carrier delays, customs processing, border inspections, weather, strikes, peak-season volume, service disruptions, and other events outside our reasonable control may affect delivery. We will provide reasonable assistance with carrier claims where appropriate. If a shipment must be re-made or re-shipped for a reason not caused by LightBoxforYou, Partner may be charged the applicable product and shipping costs. 10. Customs, Tariffs, Duties, and Import Charges LightBoxforYou will provide truthful information about the goods it ships and may select customs descriptions and tariff classifications based on the product’s actual composition, configuration, available guidance, and our reasonable interpretation of applicable rules at the time of shipment. No customs classification, duty rate, tariff treatment, de minimis treatment, or border outcome is guaranteed. Final determinations may be made by customs authorities, carriers, brokers, or other government bodies. Partner must not request or encourage false product descriptions, false values, false origin statements, or other inaccurate customs information. Duties, brokerage, import taxes, and destination charges are allocated according to the shipping method, checkout terms, or written quotation applicable to the order. Government changes may affect cost after a product has been offered or marketed. 11. Returns, Reprints, and Manufacturing Defects Because products are made to order and often personalized, returns for buyer’s remorse, change of mind, incorrect customer selection, or a personalization error supplied or approved by Partner are not accepted unless LightBoxforYou agrees otherwise. Partner must report a claimed manufacturing defect, production error, or shipping damage within 30 days after recorded delivery, or within 30 days after the expected delivery date for a shipment reasonably believed to be lost. Partner must provide the order number and sufficient photographs, video, packaging images, shipping label images, or other evidence reasonably requested. If LightBoxforYou confirms that an affected item was materially defective, materially different from the accepted order, or damaged before or during delivery, LightBoxforYou may, at its reasonable option, reprint / replace the affected item or issue a refund or account credit for the affected item. Except where law requires otherwise, this is Partner’s primary contractual remedy for that order. A marketplace or Partner may choose to offer its customer a broader return or refund policy than LightBoxforYou. Unless the underlying issue is covered by this Agreement, the cost of that broader customer policy remains Partner’s responsibility. 12. Lost, Returned, and “Delivered but Not Received” Shipments A shipment confirmed by the carrier as lost in transit may be eligible for replacement, refund, or credit after reasonable investigation and any carrier claim requirements. Where tracking shows “Delivered” but the customer reports non-receipt, LightBoxforYou will review the circumstances but does not guarantee a free reprint or refund. We may request confirmation of the address, carrier investigation, police / theft report, or other reasonable evidence depending on the circumstances. Returned-to-sender packages are handled case by case. Re-shipping or re-production fees may apply if the return was caused by address error, refusal, failure to collect, or another matter outside LightBoxforYou’s control. 13. Partner Content, Customer Content, and Intellectual Property Partner represents and warrants that it has all rights, licences, permissions, and consents necessary for any design, image, photograph, logo, trademark, text, name, artwork, or other content submitted to LightBoxforYou by Partner or its customer (“Partner Content”). Partner is responsible for customer-supplied content as if Partner submitted it directly. Partner grants LightBoxforYou a non-exclusive, worldwide, royalty-free licence to reproduce, resize, crop, convert, print, engrave, cut, manufacture, and otherwise technically process Partner Content only as reasonably necessary to review, produce, quality-check, package, ship, support, and maintain business records for the relevant order. We may reject content that we reasonably believe is unlawful, infringing, defamatory, hateful, abusive, exploitative, fraudulent, or otherwise creates material legal or safety risk. AI-Generated and AI-Modified Content. Partner is fully responsible for content created, generated, enhanced, edited, or modified using artificial intelligence or other third-party tools. Partner represents that it has the rights and permissions necessary to use and commercialize that content and that its submission and use do not infringe third-party copyright, trademark, publicity, privacy, or other rights. All Partner Content, including AI-generated content, must comply with LightBoxforYou’s thencurrent artwork, file-preparation, product, technical, quality, safety, and production requirements. LightBoxforYou may reject, pause, or request modification of artwork that is technically unsuitable, low quality, misleading, unsafe, unlawful, inconsistent with the ordered product, or otherwise unsuitable for reliable manufacturing. LightBoxforYou’s acceptance, proofing, processing, or production of Partner Content does not constitute legal review or confirmation that Partner owns or has cleared all intellectual-property rights in that content. 14. LightBoxforYou Designs, Mockups, Photos, and Marketing Assets LightBoxforYou retains ownership of its original product designs, photographs, mockups, templates, size charts, graphics, videos, descriptions, production files, and other proprietary materials (“LightBoxforYou Assets”), except for third-party content incorporated with permission. While Partner is in good standing, LightBoxforYou grants Partner a limited, non-exclusive, revocable, non-transferable licence to use approved LightBoxforYou Assets solely to advertise and sell products that are intended to be fulfilled by LightBoxforYou. Partner may not use LightBoxforYou Assets to sell materially similar products made by another manufacturer, remove ownership notices where present, sublicense the assets, sell the assets as standalone digital files, or represent LightBoxforYou Assets as Partner’s own original manufacturing content without written permission. 15. Listings, Claims, and Marketplace Compliance Partner is responsible for the accuracy and legality of its listings and advertising. Partner must not make claims about materials, certifications, child safety, country of origin, delivery guarantees, customs treatment, tariff treatment, regulatory approvals, environmental benefits, or product performance beyond information expressly supplied or approved by LightBoxforYou. LightBoxforYou does not guarantee that any product, image, keyword, listing, or business model complies with the rules of Etsy, Amazon, Meta, Google, Shopify, or any other platform. Platform decisions, listing removals, account suspensions, advertising restrictions, and marketplace policy changes are Partner’s risk unless directly caused by LightBoxforYou’s breach of this Agreement. If Partner uses AI-generated, digitally altered, composited, or rendered product images or lifestyle mockups in a listing, Partner must ensure that the listing does not materially misrepresent the actual Product, dimensions, materials, included components, installation method, lighting, safety characteristics, or other features. Any clearly illustrative image should be presented in a manner that does not create a materially false impression of what the end customer will receive. Partner is responsible for correcting or removing any listing content that LightBoxforYou reasonably identifies as materially inaccurate or inconsistent with current Product specifications. 16. Customer Data and Privacy Partner may provide customer information reasonably necessary for production and fulfillment, such as name, shipping address, contact information, order details, and personalization data. Partner represents that it has a lawful basis and all required notices or permissions to provide that information to LightBoxforYou. LightBoxforYou may use and disclose customer data only as reasonably necessary for order production, quality control, shipping, fraud prevention, support, legal compliance, tax and accounting records, and related business operations. Data may be disclosed to carriers, payment providers, software providers, professional advisers, and other service providers where reasonably necessary for those purposes. Partner must not send sensitive personal information that is not necessary to produce or fulfill the order. 17. Installation, Intended Use, and Product Safety Partner must provide or make available any installation, use, care, and safety instructions supplied by LightBoxforYou for the relevant product. Unless a product is expressly described by LightBoxforYou as a toy, decorative wall elements are decorative products and are not toys. Children should not install wall products, electrical / LED components, or mounting hardware. Small parts, cords, markers, adhesives, and mounting components should be used and stored appropriately for the child’s age and under adult supervision where relevant. LightBoxforYou is not responsible for damage caused by installation on an unsuitable surface, failure to follow instructions, improper mounting, alteration after delivery, misuse, exposure to unsuitable heat or moisture, use of incompatible electrical components, or other use outside the product’s intended purpose, except to the extent liability cannot lawfully be excluded. 18. Manufacturing Variations and Non-Defects Partner acknowledges that LightBoxforYou products are made-to-order and may contain handmade, natural, laser-cut, painted, printed, adhesive, acrylic, wood-based, MDF, plywood, LED, or other manufactured components. Reasonable variations inherent to these processes are not defects. Appendix A defines the principal tolerances and examples. Nothing in this section permits LightBoxforYou to treat a materially wrong product, functional failure, material safety defect, or substantial departure from the accepted specification as a mere tolerance. 19. Confidential and Non-Public Business Information Non-public partner price lists, production methods, internal templates, technical files, supplier information, and other information clearly identified or reasonably understood as confidential must not be disclosed or used outside the business relationship, except to employees or advisers who need the information and are subject to appropriate confidentiality obligations. This section does not apply to information that is public through no breach of this Agreement, independently developed, lawfully received from another source, or required to be disclosed by law. 20. Account Suspension and Termination LightBoxforYou may suspend or terminate Partner access for material breach, non-payment, abusive chargebacks, fraud, repeated infringement complaints, misuse of LightBoxforYou Assets, unlawful conduct, threats or harassment, material safety concerns, or conduct that creates significant business or legal risk. Partner may stop placing new orders at any time. Termination does not cancel amounts already due or obligations relating to orders already accepted for production, confidentiality, intellectual property, indemnity, limitation of liability, or other terms that by their nature should survive. 21. Limited Warranty and Disclaimer LightBoxforYou warrants that, at the time of shipment, products will materially conform to the accepted order and will be produced with commercially reasonable care, subject to the manufacturing tolerances in Appendix A. Except for the express commitments in this Agreement and to the maximum extent permitted by applicable law, products and services are provided without additional implied or statutory warranties that may lawfully be excluded in a business-to-business resale transaction. LightBoxforYou does not warrant uninterrupted production, guaranteed marketplace performance, guaranteed customer satisfaction, or a particular level of Partner profit. 22. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, LIGHTBOXFORYOU WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL LOSS, INCLUDING LOST PROFITS, LOST SALES, LOST MARKETPLACE RANKING, LOST ADVERTISING SPEND, REPUTATIONAL LOSS, OR LOSS OF BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO THIS AGREEMENT. For ordinary contractual claims arising from a specific order, LightBoxforYou’s aggregate liability will not exceed the amount actually paid to LightBoxforYou for the affected order. For claims not reasonably attributable to one specific order, LightBoxforYou’s aggregate contractual liability during any rolling 12-month period will not exceed the total fees paid by Partner to LightBoxforYou during the three months immediately preceding the event giving rise to the claim. These limitations do not apply to liability that cannot lawfully be excluded or limited, and they will be interpreted to preserve any mandatory legal rights. 23. Indemnification Partner will indemnify and hold harmless LightBoxforYou and its owner, workers, contractors, and service providers from third-party claims, losses, damages, penalties, and reasonable legal costs to the extent arising from: (a) Partner Content or customer content infringing another person’s rights; (b) false or unlawful listings, representations, or claims made by Partner; (c) Partner’s breach of marketplace, consumer, tax, privacy, sanctions, or import obligations; (d) inaccurate customer or tax information supplied by Partner; or (e) Partner’s material breach of this Agreement. Partner is not responsible under this indemnity to the extent a claim is caused by LightBoxforYou’s own negligence, wilful misconduct, or breach of this Agreement. 24. Force Majeure Neither party is liable for delay or failure caused by events beyond its reasonable control, including fire, flood, severe weather, natural disaster, power failure, machinery breakdown, material shortage, labour disruption, carrier interruption, border closure, cyber incident affecting a service provider, war, terrorism, government action, tariff change, sanctions, or supply-chain disruption. The affected party must use commercially reasonable efforts to reduce the effect and resume performance. 25. Changes to These Terms LightBoxforYou may update these Terms from time to time. For material changes, we will use a reasonable electronic method to notify active Partners, such as email, a partner portal notice, or checkout notice. Unless a shorter period is reasonably required by law, tax, tariff, fraud, safety, or platform changes, material updates will apply prospectively to orders placed after the stated effective date. An order already accepted and paid will not be materially changed retroactively solely because these Terms were later updated, except where necessary to comply with mandatory law or a government-imposed requirement. 26. Electronic Acceptance and Records Electronic acceptance is binding to the extent permitted by law. LightBoxforYou may retain records of acceptance, including Partner name, email, date and time, Agreement version, account identifier, IP address, order record, and checkbox or similar electronic acceptance evidence. Partner agrees that notices, invoices, confirmations, policies, and contractual communications may be provided electronically. 27. Governing Law and Dispute Resolution This Agreement is governed by the laws of the Province of British Columbia and the applicable federal laws of Canada, without regard to conflict-of-law rules. Before starting court proceedings, the parties will first attempt in good faith to resolve the dispute through written business discussions for at least 30 days after one party gives a reasonably detailed notice of dispute, unless urgent injunctive relief is reasonably required. Subject to any mandatory law that requires otherwise, the courts of British Columbia will have exclusive jurisdiction over disputes arising from or relating to this Agreement. 28. Assignment, Waiver, Severability, and Entire Agreement Partner may not assign or transfer this Agreement without LightBoxforYou’s prior written consent, except as part of a bona fide sale of substantially all of Partner’s business where the successor agrees in writing to assume the obligations. LightBoxforYou may assign this Agreement to a successor to its business or substantially all relevant assets. A failure to enforce a provision is not a waiver of that provision. If a provision is held unenforceable, it will be interpreted or reduced to the minimum extent necessary, and the remaining provisions will continue in effect. This Agreement, together with any applicable written quotation, current product specification, shipping policy, refund / reprint policy, privacy policy, approved tax exemption documentation, and any expressly incorporated appendix, forms the entire agreement concerning the services covered by these Terms. A specific written order term controls over a conflicting general term only for that order. 29. Notices and Contact Official business notices to LightBoxforYou may be sent to lightboxforyou@gmail.com or delivered to 9409 Erickson Street, Mission, British Columbia, V2V 7C8, Canada. Notices to Partner may be sent to the email address or account contact supplied by Partner. Partner is responsible for keeping its contact information current. 30. Acceptance BY ACCEPTING THESE TERMS, PARTNER CONFIRMS THAT IT HAS READ, UNDERSTANDS, AND AGREES TO THIS AGREEMENT, INCLUDING ITS RESALE / FULFILLMENT, TAX-DOCUMENTATION, CONTENT, AI-ARTWORK, AND MARKETPLACE RESPONSIBILITY PROVISIONS. Appendix A Manufacturing Tolerance & Materials Policy This Appendix forms part of the LightBoxforYou Partner Terms & POD Fulfillment Agreement. Its purpose is to distinguish normal characteristics of made-to-order / handmade manufacturing from a material defect. Area Normal / Permitted Variation Not Automatically a Defect Dimensions & placement Up to approximately +/- 3 mm unless a product specification states a different tolerance. Minor size or alignment variation that does not materially affect appearance, fit, or function. Paint & colour Reasonable variation between paint batches, lighting conditions, displays, photography, and different base materials. A colour that is reasonably consistent with the selected colour but not pixelidentical to a screen or prior batch. Wood & wood-based materials Natural grain, knots, mineral streaks, fibre pattern, small surface variation, shade variation, and reasonable movement caused by humidity / temperature. Natural characteristics or slight movement that does not make the product unsafe or materially unusable. Laser cutting & edges Minor edge darkening, smoke tint, kerf variation, sanding marks, or edge finish associated with laser cutting and finishing. Normal laser-cut edge characteristics that do not materially affect the face appearance or function. Handmade assembly & finishing Small differences in sanding, paint texture, glue placement, component alignment, layering, spacing, or finish between individual pieces. Reasonable handmade variation where the overall design remains materially consistent. Printed / dry erase surfaces Minor placement, edge, sheen, or surface variation consistent with the material and production process. Variation that does not materially interfere with intended writing / erasing or overall appearance. LED / electrical components Reasonable variation in component shape, cable routing, connector style, colour temperature, or brightness between supplier batches. A change in component appearance that does not materially reduce intended function or safety. Packaging Box style, inserts, protective materials, labels, and packing method may change based on product size, carrier, availability, or damage prevention. Packaging changes that still provide commercially reasonable protection. Material and Component Substitution LightBoxforYou may use or substitute suitable plywood, MDF, acrylic, plastics, metals, adhesives, mounting components, packaging, LED components, electrical accessories, coatings, printing media, or other materials and components when reasonably considered appropriate for quality, availability, durability, production efficiency, shipping, tariff / customs treatment, or product improvement. Unless a specific material is expressly stated as guaranteed in the applicable current product specification, a photograph, older sample, previous production batch, or marketing image is not a guarantee that every component will always be made from exactly the same material, supplier, thickness, brand, or construction method. A substitution is not a defect if the resulting product remains materially consistent with the ordered product’s intended function, general appearance, and reasonable quality. A substitution that materially reduces function, safety, or an expressly guaranteed feature remains subject to the defect provisions of the Agreement. Natural Material Behaviour Wood and wood-based products react to humidity, temperature, sunlight, and environmental conditions. Reasonable seasonal expansion, contraction, slight bowing, grain visibility, or shade change may occur over time. Partner and end customer should store and use products in normal indoor conditions unless a product is expressly specified for another environment. What Is Still a Defect The tolerance policy does not excuse a materially incorrect name, materially wrong size or design, missing required component, significant functional failure, substantial production damage, or a material safety defect caused by LightBoxforYou. Appendix B Tax Exemption Documentation Guide This Appendix is a commercial record-keeping guide only and does not replace applicable tax law or professional tax advice. Tax treatment depends on the specific transaction. Situation Documents Partner May Need to Provide Effect if Approved / Applicable BC resale purchase Valid BC PST number, or completed FIN 490 Certificate of Exemption General where permitted. Partner must be acquiring the goods solely for resale. BC PST may be set to 0 for eligible resale transactions after documentation is accepted. Non-Canadian Partner selling to a Canadian customer through a qualifying marketplace that is required to collect GST/HST Marketplace GST/HST Certificate containing the required platform information, plus supporting marketplace / destination evidence if requested. GST/HST may be relieved on LightBoxforYou’s supply where section 179(3.1) and all other statutory conditions are satisfied. Export / shipment outside Canada or outside B.C. Accurate shipping destination; LightBoxforYou retains carrier / export evidence. Additional provincial documentation may be requested where applicable. GST/HST may be zero-rated for qualifying exports; BC PST may not apply to qualifying out-of-province deliveries. Canadian GST/HST registrant No GST/HST exemption document solely because Partner is registered. Keep LightBoxforYou invoices and tax records. Eligible GST/HST paid to LightBoxforYou may generally be recoverable by Partner as an ITC, subject to law. Resale / fulfillment relationship Agreement acceptance plus any taxspecific records requested. Partner confirms partner-program orders are for resale unless expressly identified otherwise. Supports commercial and tax recordkeeping but does not replace a statutory certificate or registration number where one is legally required. LightBoxforYou may request updated documentation if Partner’s registration status, marketplace, marketplace registration number, destination pattern, business identity, or other relevant facts change. Partner must promptly notify LightBoxforYou if information used to support an exemption becomes inaccurate or ceases to apply. Appendix C Artwork, AI Content & Listing Standards This Appendix forms part of the Agreement and summarizes the minimum standards applicable to Partner-supplied content and customer-facing listing materials.       Partner is responsible for all rights and permissions relating to artwork, photographs, names, logos, trademarks, fonts, AI-generated content, customer-supplied content, and other material submitted for production. Artwork must meet LightBoxforYou’s current technical and production requirements, including sufficient quality, usable composition, manufacturability, and compatibility with the selected Product and production process. LightBoxforYou may reject or request changes to artwork that is too low-resolution, technically unsuitable, materially inconsistent with the selected Product, unsafe, unlawful, or likely to create unreliable production results. AI-generated or digitally altered listing images must not materially show features, materials, included items, proportions, lighting effects, mounting methods, or other characteristics that the actual Product does not provide. Partner remains responsible for marketplace compliance and for ensuring that its customerfacing listing accurately describes what the customer will receive. LightBoxforYou’s review or acceptance of content is a production review only and is not an intellectual-property clearance, legal opinion, or marketplace approval.
